Law 972 of January 15, 1962 enacts the Securities and Exchange Act. Aims to develop national economy and protect securities investors by ensuring fair trading in securities including the issuance and purchase/selling and other transactions and also normalizing the distribution of securities. Defines securities under this Act; provides that no person shall be allowed to subscribe, offer, or induce to offer except the case where an issuer has reported the securities in question to the Minister of Finance to be effective according to the Ordinance; provides that any person who has been requested by a potential buyer of securities shall not be allowed to acquire or sell the securities in question except the case where it had delivered the explanatory project note prepared by the issuer concerned; and provides the standards for trading in securities market.(135articles; 190-200pp.)
